MicroStrategy Expands STRC IPO to $2B to Grow Bitcoin Holdings Amid Legal Risks

Key Insights:

  • MicroStrategy raises STRC IPO target from $500M to $2B to increase its 607,770 BTC holdings
  • MSTR stock trades flat at $418 amid volume surge and legal uncertainty
  • Shareholders file class action over STRK amendment and voting rights

MicroStrategy has intensified its commitment to Bitcoin by boosting its STRC IPO raise from $500 million to $2 billion. The move comes as the firm looks to strengthen its treasury, already the largest among public companies at 607,770 BTC, worth over $7.2 billion.

However, the expansion coincides with legal turbulence involving preferred stock amendments, adding complexity to investor sentiment.

MicroStrategy Eyes Deeper Bitcoin Allocation

MicroStrategy has increased its Variable Rate STRC preferred stock issuance to $2 billion, up from the earlier $500 million target. The company priced the offering at $90 per share, below its $100 face value, giving it a 9% initial yield. This capital will fund more Bitcoin purchases and meet general corporate expenses.

As of July 24, 2025, MicroStrategy holds 607,770 BTC, maintaining its lead in public Bitcoin treasury ownership. The company’s Bitcoin NAV now sits around $72.1 billion, with its market cap reaching $117.2 billion. Moreover, its enterprise value rose to $128.9 billion after the IPO expansion announcement.

Stock Reaction Muted as Legal Clouds Form

MSTR stock currently trades flat at $418.23, gaining only 0.20% on the day, reflecting mixed investor sentiment. While its year-to-date return stands at 37% and the 1-year return is 147%, legal pressure could threaten momentum. A recent 5-day high of $445 was followed by a soft pullback amid lawsuit news and broader Bitcoin correction.

MicroStrategy faces a class action lawsuit filed July 21 in Delaware’s Court of Chancery. The lawsuit accuses the company of breaching fiduciary duty by modifying the liquidation preferences of its STRK stock without shareholder approval. The amendment allows STRK holders to receive either $100 or the highest of recent market averages in liquidation, rather than a flat $100.

Plaintiff David Dodge, representing common shareholders, claims that this change unfairly reduces their liquidation rights. Under Delaware law, the Certificate of Amendment requires a shareholder vote, which MicroStrategy allegedly bypassed. While the financial outcome remains unclear, the company acknowledged potential exposure without estimating its liability.

Market Sentiment Wavers Despite Bitcoin Focus

Despite MicroStrategy having a strong narrative about the accumulation of Bitcoin, investors have become wary. Some charts are already warning of a possible bull trap near the $434 to $452 resistance area, which may be a reversal in case the weekly closes are below key trend lines. The price did manage to break resistance briefly but was unable to hold it, which means a weak breakout.

Meanwhile, Bitcoin itself trades at $119,254, up 1.24% amid volatile volume and wider crypto corrections. Implied volatility remains elevated at 54%, and historical volatility has reached 93% over the past year. The STRC’s introduction aims to offer more stable capital flows, but high-risk signals persist in both crypto and equity markets.

The MSTR chart priced in Bitcoin is also in a multi-year down-trend since 2011 highs, but lately has found a bottom at 0.001 BTC. Forecasts project that the MicroStrategy stock can increase to $606.14 within a month or to $613.53 within three months. Yet, analysts are still split with headwinds of legal challenges and serial issuances of preferred stock dilutions.

IPO Strategy Faces Mixed Investor Reactions

The capital structure of MicroStrategy is still in transition because it releases new preferred stock series. After STRD, STRF, and STRK, the most recent STRC has overtaken all of them except STRF and convertible bonds. Such a preference implies that investors in STRC will have better chances of recovering money in the event of liquidation but makes life more complicated to common shareholders.

The 30-day average trading volume of the company is $5.26 billion, a decrease of 3.37%, which could be a result of a reluctance by institutional buyers. The open interest in MSTR derivatives is at $96.9 billion, which indicates a strong speculative activity, but some fear overextension. Its debt-to-Bitcoin NAV is reasonable at 11% and preferred offering use can reduce future returns.
