- Elon Musk files for a federal injunction to block OpenAI’s for-profit transition.
- Musk Claims OpenAI abandoned its original charitable mission post-2018.
- Microsoft and OpenAI accused of dominating the AI market via predatory practices.
A major development recently emerged in the artificial intelligence sector, making headlines in both public forums and the federal court. Elon Musk, known for Tesla, SpaceX, and his impactful statements influencing Dogecoin, has stirred controversy with his latest action.
Musk has petitioned a federal court to block OpenAI from transitioning into a for-profit entity, calling the move “illegal” and accusing the organization of engaging in anti-competitive practices.
Musk accused OpenAI, its CEO Sam Altman, president Greg Brockman and stakeholder Microsoft of violating terms of Musk’s “foundational contributions to the charity,” according to his motion for a preliminary injunction filed on Nov. 30.
Elon Musk argues that an immediate halt to the rapid growth of OpenAI is crucial to protect both his artificial intelligence venture and the public. Musk co-founded OpenAI in 2015 and served as a board member until 2018.
He claims that the company was originally established as a non-profit with a mission to develop generative AI for the benefit of society.
However, Musk accused Sam Altman of breaking promises and shifting OpenAI’s focus. The Tesla CEO continued his month-long criticism of Altman, reiterating his concerns in his latest court filing.
“OpenAI’s path from a non-profit to for-profit behemoth is replete with per se anticompetitive practices, flagrant breaches of its charitable mission, and rampant self-dealing,” Musk’s lawyers wrote.

Why Elon Musk Wants To Block OpenAI’s Transition to a For-profit Firm?
Elon Musk is determined to halt OpenAI’s shift to a for-profit model. He argues that it was originally founded as a non-profit with a mission to benefit society.
Musk sued OpenAI in March 2024 in a San Francisco state court but later withdrew and refiled the case in a federal court.
His legal team expanded the lawsuit, accusing Microsoft and OpenAI of antitrust violations. They allege that OpenAI pressured investors to agree not to fund rival companies, including Musk’s own AI startup, xAI.
In recent court filings, Musk, his xAI team, and former OpenAI board member Shivon Zilis sought a preliminary injunction against OpenAI.

Musk’s xAI, which launched its Grok chatbot, raised around $6 billion with a $50 billion valuation. The xAI team claims that OpenAI’s investor agreements amounted to a “group boycott,” blocking access to vital investment capital.
The motion asks the court to prevent OpenAI from using competitively sensitive information obtained through its ties with Microsoft.
Elon Musk’s legal team wants OpenAI’s restructuring paused during the litigation. Also, it requests that OpenAI be prohibited from enforcing agreements that prevent investors from backing competitors, including xAI.
These filings mark a significant escalation in the ongoing legal battle between Musk, OpenAI, its CEO Sam Altman, and other stakeholders. These stakeholders include tech investor Reid Hoffman and Microsoft.
The Reason Why OpenAI Wants this Conversion to Complete?
OpenAI was founded in 2015 as a non-profit, but after Musk’s departure in 2018, Sam Altman shifted it to a capped-profit model in 2019. Currently, OpenAI is transitioning into a fully for-profit public benefit corporation.
This would make it more appealing to investors while allowing the non-profit arm to operate independently. However, this move didn’t go well with Elon Musk. Musk was an early board member and is familiar with the organization’s original mission.
OpenAI maintains that it is still nonprofit at its core, but it has created a for-profit subsidiary that can issue equity to attract capital and hire top talent. All this will be under the guidance of the nonprofit entity.
Musk, however, claims that after his departure, OpenAI abandoned its charitable roots. Especially when it accepted significant investments from Microsoft starting in 2019, breaking the promises made to him.
Elon Musk on X clearly stated on December 1st, that- “OpenAI going from non-profit to maximum profit is a total scam!!”
Why Elon Thinks Microsoft’s Engagement With OpenAI is for Predatory Practices?
Musk’s legal team argues that through exclusive deals with Microsoft, the two companies (Microsoft and OpenAI) have engaged in “predatory practices” to dominate nearly 70% of the generative AI market.
“Microsoft and OpenAI now seek to cement this dominance by cutting off competitors’ access to investment capital, while continuing to benefit from years’ worth of shared competitively sensitive information during generative AI’s formative years.”
Musk’s legal team further contends that allowing this situation to persist would harm both xAI and the public.
In response, OpenAI argued that since Musk launched his own AI venture, xAI, he has been using the legal system to gain an advantage. The company believes Musk’s claims lack merit and should be dismissed.
As the business dispute between OpenAI and Elon Musk continues, the outcome remains uncertain, and the case is ongoing.
