Key Insights:
- Metaplanet shareholders approved a plan to raise $3.7 billion for Bitcoin purchases.
- By the end of 2027, the company wants to have 210,000 Bitcoin.
- A new dual-class share structure will aid the protection of current shareholder control.
Metaplanet, a Japanese investment firm focusing on Bitcoin, is now a step closer to attaining one of its goals. The firm aims to be the world’s leading corporate holder of Bitcoin.
During an extraordinary general meeting on Monday, the shareholders voted in favor of alarming adjustments of the company’s capital structure.
There’s now the possibility of a fundraising campaign of up to ¥555 billion ($3.7 billion). This will be aimed at increasing the company’s Bitcoin reserves.
A Strategic Overhaul of Capital Structure
A strategic overhaul of Metaplanet’s capital structure aligns with adding 2.7 billion authorized shares and establishing a dual-class preferred stock system. This system is meant to widen the investor audience while preserving the control of the current investors.
Under the plan:
A fixed dividend is declared on the Class A shares. This would appeal to buyers of shares with a preference for income.
Class B investors take on more risk. However, it may convert its shares into common stock if Metaplanet’s strategy on Bitcoin is successful.

The company calls the dual class system a “defensive mechanism”. It provides a way to garner a large amount of money while preserving the common shareholders’ voting power.
Funding a Bold Bitcoin Accumulation Target
Acquiring 210,000 BTC by the year 2027 is no simple feat. Doing so will place them as one of the world’s largest Bitcoin holders.
As discussed earlier, the bids proposed for fundraising have already reached $3.7 billion. This was first stated on August 1. To accomplish this, the shareholder-approved vote is of primary importance. Despite this, several other hoops need to be jumped through.
Terms that are going to be related to the shares that will be issued need special approval from the company’s board. In addition to this, registration statements need to be submitted to the Japanese regulators.
Meeting the Minimum target set for fundraising will still be one of the biggest obstacles to overcome.
Market Context and Share Price Pressure
Metaplanet’s announcement comes amid volatility for Bitcoin and the company’s stock. According to Google Finance, Metaplanet’s shares were trading at approximately $5.74 on Tuesday. This is a 54% decline from June. At that time, it was at its peak of $12.75.

These factors ultimately put the company’s fundraising at risk. Investors’ perceptions regarding the crypto industry and Metaplanet are still vulnerable to volatility in the market.
That said, the investment firm’s upper management still chooses to look at the market to acquire Bitcoin at advantageous pricing.
Growing Corporate Bitcoin Treasury
Metaplanet has been gradually growing its Bitcoin holdings despite market challenges. The business paid roughly $112 million for 1,009 Bitcoin on Monday. This increased its total reserves to 20,000 Bitcoin, which is currently valued at about $2.2 billion.
As a result, Metaplanet is now the sixth-largest corporate Bitcoin holder globally. It has attained this position in a comparatively short period of time.
The company’s aggressive accumulation strategy is similar to that of well-known American companies. Bitcoin has been incorporated into their treasury management system.
